Terms of Use — DRAFT
This is a starting draft, not legal advice. Have a qualified Indian advocate or company secretary review and adapt it before you publish. Fill in every [bracketed] placeholder.
Last updated: [date] Operator: [Openlogic Business Solutions Pvt. Ltd.], [address], Assam, India ("we", "us", "the Platform").
1. What this Platform is
The Platform is a directory and facilitator only. We list relief organisations and distributors ("Listed Organisations") that have applied and been verified by us. We help contributors ("Contributors") discover these organisations and contribute to them.
We do not collect, receive, hold, pool, route, or disburse any funds. All contributions are made directly by the Contributor to the Listed Organisation's own UPI account using the Contributor's own payment app. The Platform is never a party to any payment. We are not a payment system, payment aggregator, trustee, escrow agent, or fundraiser.
2. Verification and its limits
We review documents submitted by applicants (such as registration certificates, NGO Darpan ID, and identity proof) before listing them. Verification means we carried out a documentary check in good faith. It is not a guarantee of an organisation's honesty, solvency, tax status, or how it will actually use funds. Contributors are responsible for their own decision to contribute.
3. Contributors
- Contributions are voluntary and made at your own discretion and risk.
- Because payment is direct to the Listed Organisation, any question about receipts, refunds, tax exemption (such as 80G), or fund utilisation is between you and that organisation. We cannot issue receipts or refunds.
- We do not promise any contribution will reach any particular beneficiary.
- If you believe a listing is fraudulent, report it using the "Report this listing" option. We will review reports but do not promise any outcome.
4. Listed Organisations
By applying, you represent and warrant that:
- You are authorised to represent the organisation and to receive contributions on its behalf.
- All information and documents you submit are true, current, and your own.
- The UPI ID you provide belongs to the organisation and is lawfully operated.
- You will use contributions for genuine relief purposes and comply with all applicable laws, including registration, tax, and (where relevant) FCRA requirements.
- You will keep your information updated and respond to our verification queries.
We may refuse, suspend, or remove any listing at our sole discretion, including on report of misuse, with or without notice.
5. No liability for third-party conduct
To the maximum extent permitted by law, we are not liable for any loss arising from: a Contributor's decision to contribute; a Listed Organisation's conduct, misrepresentation, or misuse of funds; failed, delayed, or misdirected UPI payments; or the accuracy of any listing. The Platform is provided "as is" without warranties of any kind.
6. Indemnity
You agree to indemnify us against claims arising from your use of the Platform or your breach of these Terms.
7. Intellectual property
Content you submit remains yours; you grant us a licence to display it on the Platform. You may not scrape, copy, or misuse Platform content.
8. Changes, suspension, termination
We may modify these Terms or the Platform at any time. Continued use means you accept the changes. We may suspend or discontinue the Platform at any time.
9. Governing law
These Terms are governed by the laws of India. Courts at [Guwahati, Assam] have exclusive jurisdiction.
